This End-User License Agreement ("Agreement") is a legal agreement between you (either an individual user or the single legal entity you represent, hereinafter referred to as "you") and Verity Water Sciences Company. This Agreement governs your access to and use of our web-based booking system for scheduling laboratory testing, water analyses, consultations, and related services.

Please read this Agreement carefully before accessing or using the Platform. By clicking "Accept," registering an account, or accessing and using the Platform, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. 1. Grant of License

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, VERITY WATER SCIENCES COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERITY WATER SCIENCES COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

7. Termination

• Termination by You: You may terminate this Agreement at any time by ceasing all use of the Platform and closing your account.
• Termination by Us: We reserve the right to suspend or terminate your access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach any term or condition of this Agreement.
• Survival: Upon termination, all rights and licenses granted to you under this Agreement will immediately cease, and provisions that by their nature should survive termination shall remain in full force and effect.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the Republic of the Philippines. Any legal action, suit, or proceeding arising out of or relating to this Agreement or the Platform shall be instituted exclusively in the proper courts of Pasay City, and each Party irrevocably submits to the exclusive jurisdiction of such courts.

9. Changes to This Agreement

We reserve the right, at our sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms.
